Kuddle Koalas are an NFT project under Ozzy Lab LLC, a limited liability company registered in Delaware. “Ozzy Labs”, “Kuddle Koalas”, “us”, or “we” owns and controls this website along with any other web services offered by us now and or in the future. By accessing and or using https://kuddlekoalas.com, our ERC-721 tokens, smart contracts, or other services, you hereby consent and agree to these terms and conditions. The terms on this page form a legally binding agreement made by us and between both us and the user of this site.

By continuing to use and access this website or other services offered, you agree that you both have read, understood, and agreed to the terms of this page.

If you do not agree with these terms, then please do not use or access the site and services.

1. 1. You Own Your Kuddle Koala

   Kuddle Koalas is a collection of 7500 individual ERC-721 tokens or 'NFT's. Each one was made using over 200 digitally hand drawn traits that were used inside of an image generator to create each token and their respective image which is hosted on IPFS. Purchasing a Kuddle Koala through our ERC-721 Smart Contract will give full control and ownership over your Kuddle Koala (NFT).

2. 2. Ownership Rights

   As an owner of your Kuddle Koala you are granted full commercial rights over your Kuddle Koala(s) for the duration of your ownership of said Kuddle Koala. If you sell, trade, transfer, or in any other way lose ownership of your Kuddle Koala, you no longer have these rights. You agree to not associate your Kuddle Koala in any business or project that deals with extremely mature themes, racism, and or other illegal activities.

3. 3. Our Rights Over Kuddle Koalas

   Although as an owner of a Kuddle Koala you will have access to some rights, any and all rights not granted to owners and users of Kuddle Koalas are reserved for and by Ozzy Labs LLC (Kuddle Koalas). This includes but is not limited to any IP rights around the “Kuddle Koalas” name, logos, website, content, and individual traits.

4. 4. No Guarantees Or Promises

   In regards to the released roadmap and future development of the project, we cannot ensure that these goals will be met. While we intend to push forward and meet these goals to the best of our ability, there is always a chance of a hiccup in the road that could prevent us from proceeding. Additionally parts of the roadmap will require funding that won’t be acquired unless we sell out, which is not guaranteed. When purchasing or “minting” a Kuddle Koala you understand and agree that is all you are guaranteed to. You also agree that you understand that Kuddle Koalas is not responsible for any future commitments when you access this site.

5. 5. Limitation of Liability

   Although our smart contract has undergone rigorous testing to try and prevent any issues from occurring, as with all things problems can occur unexpectedly. Potential issues include but are not limited to gas fees for failed transactions, loss of NFT, and excessive gas fees.

6. 6. Kuddle Koalas Are Not Investments

   Kuddle Koalas are an NFT collectible. This means they are simply made for the purpose of a fun piece of art that can be used in an online profile picture. While the value of an NFT can go up, we do not guarantee that any Kuddle Koalas will be worth anything. By purchasing a Kuddle Koala you understand that they are not investments and are not guaranteed to hold monetary value or meant to.

7. 7. Indemnification

   You agree to indemnify and hold Kuddle Koalas and our managers, staff, members, affiliates, contractors, and partners harmless from and against any and all liability, claims, damages, losses, costs, and expenses. This defense and indemnification obligation is intended to extend to the fullest extent permitted by law and will survive these Terms and Conditions as well as your use of this website.

8. 8. Children

   By accessing or using this website, or any Kuddle Koala services you agree that you are over the age of 18, or above the legal age of your jurisdiction, whichever is greater.

9. 9. Precautions

   You agree and understand that Kuddle Koalas is NOT a charity, although we plan on using a portion of our revenue to do charitable activities, we ourselves are not a charity and should not be treated as such.

10. 10. Taxes

    You are entirely responsible for any tax liability that may arise from buying, minting, or selling Kuddle Koalas at any time.

11. 11. Class Action Waiver

    You agree to waive any class action status, and any legal dispute around the Kuddle Koalas project can only be done on an individual basis.

12. 12. Arbitration

    If an event arises and leads to a legal dispute from anything related to the Kuddle Koalas project, you agree to bring the case to binding arbitration according to the Delaware Rapid Arbitration Act.

13. 13. Jurisdiction

    You agree that if a legal dispute arises, you will be subjected to United States and Delaware jurisdiction and any legal proceeding will be brought to Delaware.

14. 14. Privacy Policy

    At this time Kuddle Koalas and this website are not collecting any sort of user data including IP addresses, cookies, or browser data. Since Kuddle Koalas are ERC-721 tokens all transactions are viewable on the Ethereum Blockchain and by minting, buying, selling, or transferring you agree and understand these transactions will be publicly viewable. Based on future developments in the project some of this may be subject to change.
